1st part
Scope of application and applicable law
1 Scope of application
(1) The following general terms and conditions apply to all legal transactions with consumers and businesses.

hereinafter referred to as "we". Legal transactions can be concluded in person, by mail, via messenger, by email, during an initial consultation, or via the website.
(2) The language available for concluding the contract is exclusively German. Translations into other languages are for your information only. The German text shall prevail in case of any discrepancies in wording.
(3) These General Terms and Conditions apply exclusively. We do not recognize any conflicting or deviating terms and conditions that you may use, unless we have expressly agreed to their validity in writing or in text form.
2 Applicable law and consumer protection regulations
(1) The law of the Federal Republic of Germany shall apply, to the exclusion of international private law and the UN Convention on Contracts for the International Sale of Goods applicable in Germany.
(2) If you are a consumer within the meaning of Section 13 of the German Civil Code (BGB) and you have your habitual residence in a member state of the European Union, German law shall also apply, whereby mandatory provisions of the state in which you have your habitual residence remain unaffected.
(3) A consumer within the meaning of the following provisions is any natural person who concludes a legal transaction for purposes that are predominantly neither attributable to their commercial nor their independent professional activity. An entrepreneur is any natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their independent professional or commercial activity.
(4) The version of these General Terms and Conditions valid at the time of booking shall apply.
(5) The prices valid at the time of booking shall apply.
(6) Should specific discount or promotional offers be advertised, these are limited in time or quantity. There is no entitlement to them. Offers may not be transferred, modified, sold, exchanged, reproduced, or distributed without our express written permission.
2nd part
Formation of the contract, payment terms, contract duration and vouchers
3 Subject of the contract
(1) The subject matter of the contract may include the following services (this list is not exhaustive):
• Digital products
• Coaching
• Consulting
(2) All offers on the internet are non-binding and do not constitute a legally binding offer to enter into a contract.
4 Prices, payment terms and due dates
(1) Our prices are gross prices (including statutory VAT, displayed for Germany).
(2) An invoice will generally be sent to you by email as a PDF document. The invoice amount is due immediately upon receipt of the invoice and payable to us within 7 days.
(3) Access to the respective products is subject to prior receipt of payment. As soon as we have received your payment or down payment, you are entitled to our corresponding service from that point onwards.
(4) You are not entitled to assert a right of retention or to offset against payment claims from us, unless these are undisputed or legally established counterclaims.
(5) If a SEPA direct debit mandate issued by you is revoked without legal justification, you must pay not only the bank charges for returned direct debits, but also the legal fees. Furthermore, such action may also have criminal consequences.
(6) Should you be in default of payment or otherwise in default, we are entitled to refuse performance or delivery until all due payments have been made. We are also entitled to withhold, interrupt, delay, or completely discontinue services without being obliged to compensate for any resulting damage. These rights apply without prejudice to any other contractual or legal rights and claims we may have.
5 Formation of the contract
(1) The purchase of products is subject to the terms and conditions applicable at the time of purchase.
(2) When you purchase a product: (i) you are responsible for reading the product description in full before making a binding purchase and (ii) placing an order on the site (by completing a payment process via the "Book Now" button or a similar button) may constitute a legally binding contract for the purchase of the respective product, unless these terms and conditions stipulate otherwise.
(3) You can select products from our product range and add them to your shopping cart by clicking on the corresponding button. Our prices are listed on the page. We reserve the right to change our prices at any time and to correct any unintentional pricing errors. These changes will not affect the price of products you have already purchased. When you proceed to checkout, you will see an overview of all the products you have added to your shopping cart. The overview includes the essential characteristics of each product, as well as the total price for all products, the applicable sales tax (VAT) and, if applicable, the shipping costs. On the payment page, you also have the option to review and, if necessary, change, remove or correct the products and quantities. You can also use the editing function to identify and correct any input errors before placing your final binding order. All stated delivery times apply from receipt of your payment of the purchase price. By clicking on the "Order with obligation to pay" button, you place a binding order to purchase the listed products at the specified price and shipping costs. To complete the ordering process via the "Order with obligation to pay" button, you must first acknowledge these terms and conditions as legally binding for your order by clicking the corresponding box.
(4) We will then send you an order confirmation by email, which will list your order again and which you can then print or save using the corresponding function. Please note that this is an automated notification that only confirms that we have received your order. It does not indicate that we have accepted your order.
(5) The legally binding agreement for the purchase of the products is only concluded when we send you an acceptance confirmation by email or ship the products to you. We reserve the right not to accept your order. This does not apply in cases where we offer a payment method – and you choose this payment method for your order – in which a payment transaction is initiated immediately upon submission of your order (e.g., electronic bank transfer or real-time transfer via PayPal, Giropay, Paydirekt). In this case, the legally binding agreement is considered concluded when you have initiated the ordering process as described above using the "Order with obligation to pay" button.
(6) The purchase contract can be concluded in [German]. After conclusion of the contract, the contract terms will be stored by us; you will then no longer have access to them.
6 Right of withdrawal for consumers
(1) As a consumer, you have a right of withdrawal in accordance with the instructions listed in the appendix.
(2) The withdrawal period begins with the conclusion of the contract. The contract is concluded the moment you receive our purchase confirmation email. You can cancel your purchase free of charge within 14 days.
(3) The following special conditions apply to the right of withdrawal for services:
a) If you purchase the service and we are to begin providing the service immediately or within the 14-day withdrawal period, you waive your right of withdrawal.
b) BEFORE completing your booking/order, you declare your waiver of the right of withdrawal by expressly requesting that we begin providing the service before the expiry of the 14-day withdrawal period. You thus waive your right of withdrawal if we provide the service in full. In the case of partial performance of the service to you (as the customer) within the withdrawal period, we are entitled to the corresponding payment for the services rendered, even in the event of a withdrawal.
(4) If a booking is canceled within 14 days and we have already started providing our service during this time, you are only entitled to a partial refund of your costs. Services already rendered will then be deducted proportionally from the refund.
(5) The following special conditions apply to the right of withdrawal for digital content/products:
a) If you purchase a digital product and you receive access to the entire content immediately after payment, you waive your right of withdrawal.
b) BEFORE completing the order, you declare your waiver of your right of withdrawal: "I hereby waive my 14-day right of withdrawal so that I can access the digital content immediately and in full." c) AFTER completion of the purchase of digital content, we will confirm to you the expiration of the right of withdrawal in such a way that you can save this statement for your records so that it is accessible to you at any time.
(6) If you have not paid a purchase price for our service or the digital content, but have provided us with your personal data, the right of withdrawal expires by law upon commencement or provision of our service.
7 Contract duration and termination
(1) Die jeweilige Laufzeit unseres Vertrages richtet sich nach der gebuchten Beratung bzw. dem gekauften Produkt. In der Regel endet der Vertrag automatisch durch Erfüllung. Das bedeutet, du hast unser gesamtes Honorar gezahlt und wir haben die entsprechende Gegenleistung erbracht.
(2) Das außerordentliche Kündigungsrecht jeder Partei bleibt unberührt. Ein außerordentliches Kündigungsrecht unsererseits liegt insbesondere dann vor, wenn du mehr als 2 Male mit den Zahlungen in Verzug geraten bist, wenn du vorsätzlich gegen Bestimmungen dieser AGB verstößt und/oder vorsätzlich oder fahrlässig verbotene Handlungen begangen hast oder unser Vertrauensverhältnis nachhaltig gestört ist.

Details regarding the services offered, cancellation conditions, and termination procedures.
8. Scope of services and services not utilized
(1) The scope of services included with the product depends on the product purchased.
(2) Appointments for individual consultations are scheduled in advance. If a participant repeatedly cancels a booked appointment, no further appointment needs to be offered. This appointment will then be forfeited. The obligation to pay for the appointment remains in effect. The payment for the appointment will be retained. There is no entitlement to a refund.
(3) If you cancel a booked program, you are not entitled to a refund of any payments already made.
9 Cancellation of appointments on our part
(1) We reserve the right to cancel an appointment at short notice if the speaker is ill or other unforeseen circumstances prevent its execution.
(2) We will endeavor to find alternative dates for the cancelled appointments. If this is not possible, we will compensate for this portion with an equivalent service.
(3) If a participant acts in breach of contract by violating these General Terms and Conditions, we have the right to exclude them from the program. This applies in particular if the participant disrupts the proceedings and does not cease to do so even after being asked to stop, or if a participant repeatedly fails to adhere to agreed arrangements (e.g., appointment agreements). In this case, no costs will be refunded.
4th part
Rights and obligations of the customer
10 Right to use the digital content or documents.
(1) Audio, video, and PDF files and other documents may be accessed (downloaded) and printed by you as a customer and only for your own use. Downloading and printing of files is only permitted within this scope. To this extent, you as a customer may also have the printing done with the technical assistance of third parties (e.g., a copy shop). Otherwise, all rights of use to the files and documents remain reserved to us. This means that the templates and documents, as well as the knowledge imparted, may not be made accessible to third parties, neither free of charge nor for a fee. The documents are also not intended for consulting purposes. Furthermore, no parts of our videos, online calls, or the various courses may be filmed or recorded.
(2) Therefore, in particular, the making of copies of files or printouts for third parties, the transfer or forwarding of files and documents to third parties, or any other use for purposes other than your own study purposes, whether for payment or free of charge, during and after the termination of the agreement, requires our explicit prior written consent.
(3) The trademarks listed on the documents are protected under trademark law. As a customer, you are obligated to use the documents and files accessible to you only within the scope expressly permitted here or permitted by mandatory legal regulations even without our consent, and not to promote unauthorized use by third parties. This also applies after the termination, revocation, or cancellation of participation.
(4) Forms of use that are permitted due to mandatory legal provisions are, of course, excluded from this consent requirement.
11 Collection, storage and processing of your personal data
(1) To process and complete a booking, we require the following information from you:
• First and last name
• Address
• Email address
• For businesses, also the company name and VAT ID number
The specific data that is mandatory depends on the required fields for each product.
(2) For paid services, the information provided for the name, especially the company name, must be correct. The same applies to the address. Invoices are generated based on this information. Should corrections be necessary, this may result in additional work, which we will charge at a reasonable rate.
(3) If you change your personal information, especially your email address, please inform us by email at hello@theresamietusch.com.
12 Provision of suitable IT infrastructure and software by the company itself.
As a customer, you are solely responsible for providing and ensuring internet access (hardware, telecommunications connections, etc.) and all other technical equipment and software necessary for using our online services (in particular web browsers and PDF programs such as Acrobat Reader®, Zoom/Skype) at your own expense and risk.
13 General information about the products
(1) Participation in the programs/courses is based on cooperation.
(2) Participation requires a willingness to learn independently. We cannot promise any specific outcome for these processes. We are merely facilitators and provide assistance, examples, and guidance. The implementation and decision-making are entirely your responsibility.
5th part
Confidentiality and liability regulations
14 Confidentiality of both parties
(1) We undertake to maintain confidentiality regarding all confidential information from you during and after the duration of the course.
(2) You are obligated to maintain confidentiality regarding all information that is to be treated as confidential, of which you become aware in the course of the collaboration, and to use this information only with our prior written consent when dealing with third parties. This also applies to all documents that you receive from us or to which you have access within the framework of the program.
15 Liability for Content
(1) In our online programs/digital products, we present strategies or courses of action and, where applicable, provide general recommendations. The responsibility for implementation and decision-making rests solely with you.
(2) The files and documents we provide are templates that you must adapt to your specific needs. We assume no liability for the completeness or accuracy of these templates.
(3) We reserve the right to optimize and adapt the content at any time.

Die Dienste enthalten ggf. Links, über die du die Site verlassen kannst. Sofern nicht anders angegeben, stehen die verlinkten Seiten nicht unter unserer Kontrolle, und wir sind nicht verantwortlich für die Inhalte verlinkter Seiten, für Links, die auf einer verlinkten Seite enthalten sind, oder für Änderungen und Aktualisierungen solcher Seiten. Wir sind nicht verantwortlich für Übertragungen, die von einer verlinkten Website empfangen werden. Links zu Websites Dritter werden nur zu Informationszwecken zur Verfügung gestellt.
17 Haftungsbeschränkung
(1) Wir haften für Vorsatz und grobe Fahrlässigkeit. Ferner haften wir für die fahrlässige Verletzungvon Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht, deren Verletzung die Erreichung des Vertragszwecks gefährdet und auf deren Einhaltung du regelmäßig vertrauen darfst. Im letztgenannten Fall haften wir jedoch nur für den vorhersehbaren, vertragstypischen Schaden. Wir haften nicht für die leicht fahrlässige Verletzung anderer als der inden vorstehenden Sätzen genannten Pflichten. Die vorstehenden Haftungsausschlüsse gelten nicht bei Verletzung von Leben, Körper und Gesundheit. Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.
(2) Die Datenkommunikation über das Internet kann nach dem derzeitigen Stand der Technik nicht fehlerfrei und/oder jederzeit verfügbar gewährleistet werden. Wir haften insoweit nicht für die ständige und ununterbrochene Verfügbarkeit des Angebots. Reguläre Wartungsfenster kündigen wir an.
(3) Sämtliche genannten Haftungsbeschränkungen gelten ebenso für unsere Erfüllungsgehilfen.
6. Teil
Schlussbestimmungen und Gerichtsstand
18 Änderung dieser AGB
Diese AGB können geändert werden, wenn ein sachlicher Grund für die Änderung vorliegt. Das können beispielsweise Gesetzesänderungen, Anpassung unserer Angebote, Änderungen der Rechtsprechung oder eine Veränderung der wirtschaftlichen Verhältnisse sein. Bei wesentlichen Änderungen, die dich betreffen, informieren wir dich rechtzeitig über die geplanten Änderungen. Du hast nach der Information ein 14-tägiges Widerrufsrecht. Nach Ablauf dieser Frist, sind diese neuen Regelungen wirksamer Vertragsbestandteil geworden.
19 Schlussbestimmungen
(1) Die hier verfassten Geschäftsbedingungen sind vollständig und abschließend. Änderungen und Ergänzungen dieser Geschäftsbedingungen sollten, um Unklarheiten oder Streit zwischen uns überden jeweils vereinbarten Vertragsinhalt zu vermeiden, schriftlich gefasst werden – wobei E-Mail(Textform) ausreichend ist.
(2) Für Kaufleute i.S.d. HGB, juristische Personen des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist der Gerichtsstand der Sitz von Theresa Mietusch.
(3) Sollten einzelne Bestimmungen dieses Vertrages unwirksam sein oder werden, so wird hierdurch der Vertrag im Übrigen nicht berührt. Der in der Regelung vereinbarte Leistungsumfang ist dann indem rechtlich zulässigen Maß anzupassen.
Anhang 1:
Verbraucherinformationen und Widerrufsbelehrung
(1) Die für den Vertragsabschluss zur Verfügung stehende Sprache ist ausschließlich Deutsch.
(2) Die Präsentation unserer Leistungen auf der Webseite stellen kein bindendes Angebot unsererseits dar. Erst die Buchung einer Leistung durch dich ist ein bindendes Angebot nach § 145 BGB. Im Falle der Annahme dieses Angebotes versenden wir an dich eine Buchungsbestätigung per E-Mail. Damit kommt der Vertrag über die Buchung zustande.
(3) Die von uns angegebenen Preise verstehen sich als Bruttopreise inklusive Steuern (fürDeutschland).
(4) Die für die Abwicklung des Vertrages benötigten Daten werden von uns gespeichert und sind fürdich jederzeit zugänglich. Insoweit verweisen wir auf die Regelung der Datenschutzerklärung auf unserer Webseite.
(5) Als Verbraucher hast du ein Widerrufsrecht gemäß der nachstehenden Belehrung.
WIDERRUFSBELEHRUNG
WIDERRUFSRECHT
Als Verbraucher hast du das Recht, binnen vierzehn Tagen ohne Angabe von Gründen den Vertragzu widerrufen.
Dir steht kein Widerrufsrecht zu, wenn du ausdrücklich bei deiner Buchung zugestimmt hast, dass wir bereits vor Ende der Widerrufsfrist mit der Ausführung der Dienstleistung beginnen sollen und diese Leistung vollständig erbracht wurde oder dir der gesamte Umfang des digitalen Inhalts/Produkts zur Verfügung gestellt wird. Haben wir die Leistung teilweise erbracht, steht dir insoweit kein Widerrufsrecht mehr zu. Bei digitalen Inhalten verlierst du dein Widerrufsrecht, wenn du zustimmst, dass du sofort Zugriff auf den gesamten Inhalt bekommst und auf dein Widerrufsrecht verzichtet hast.
FRISTBEGINN bei Buchung von Dienstleistungen
Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsschlusses. Der Vertragsschluss kommt an dem Tag zustande, an dem du von uns nach erfolgreicher Buchung eine Bestätigungs-E-Mail bekommst. Um dein Widerrufsrecht auszuüben, musst du uns schreiben an

Du kannst dafür das beigefügte Muster-Widerrufsformular verwenden, das jedoch nicht vorgeschrieben ist.Zur Wahrung der Widerrufsfrist reicht es aus, dass du die Mitteilung über die Ausübung desWiderrufsrechts vor Ablauf der Widerrufsfrist absendest.
FOLGEN DES WIDERRUFS bei Dienstleistungen
Wenn du diesen Vertrag widerrufst, haben wir dir alle geleisteten Zahlungen, die wir von dir erhalten haben, spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über deinen Widerruf dieses Vertrages bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das du bei der ursprünglichen Transaktion eingesetzt hast.Hast du die Zahlung als Banküberweisung getätigt, teile uns bitte deine Kontodaten mit, da wir auf dem Kontoauszug nur einen Teil deiner Kontodaten sehen können. Hast du zugestimmt, dass wir bereits vor Ablauf der 14-tägigen Widerrufsfrist mit der Leistung beginnen sollen, dann hast du uns – bei einem Widerruf- für unsere bereitserbrachten Leistungen auch die Gegenleistung (Honorar) zu erbringen und insoweit keinen Erstattungsanspruch.
